CoinDepo Affiliate Program Terms

1. Introduction
These CoinDepo Affiliate Program Terms (hereinafter “the Terms”) govern the terms and conditions of the CoinDepo Partner Program (hereinafter the “Affiliate Program”), organized by CoinDepo LLC, Company No. 1065 LLC 2021, incorporated under the laws of Saint Vincent and the Grenadines, at the address: Murray’s Road, Beachmont, Kingstown, St. Vincent and the Grenadines (hereinafter “the CoinDepo” or “we”, “us” and/or “our(s)”). The Affiliate Program is aimed at attracting new active users of the CoinDepo Earn Interest Product (hereinafter “the Product”), which will be referred to CoinDepo by an individual or legal entity that is already a customer of CoinDepo (hereinafter “the Affiliate” or "You" and/or “your(s)”). These Terms constitute a legally binding agreement (hereinafter “the Agreement”) between the CoinDepo and the Affiliate describing the rules for participation in the Affiliate Program, in which the CoinDepo and the Affiliate may also be referred to individually as “the Party”, and collectively as "the Parties”.
The Affiliate Program is not available to citizens or residents of the United States and certain other restricted jurisdictions.
2. Definitions
“CoinDepo Website” means the CoinDepo website located at coindepo.com.
“CoinDepo Account” means a personal or corporate account, opened with CoinDepo, through which а customer can use the Product and other services provided by CoinDepo.
“The Product” means the CoinDepo Earn Interest Product consisting of various types of Compound Interest Accounts for depositing digital assets for the purpose of earning interest, which the customer can manage by logging into their CoinDepo Account.
“Affiliate” means any customer with a registered CoinDepo Account who has applied for the Affiliate Program through the CoinDepo Website on the “Partner Program” page located at coindepo.com/affiliate/partner-program and has been approved by CoinDepo.
“Affiliate Link” means a unique partner link including an affiliate code that the Referred User must use to create a CoinDepo Account. The Affiliate can find their unique affiliate link on the “Affiliate” page by logging into their CoinDepo Account.
“Referred User” means an individual or legal entity that has not previously opened a CoinDepo Account, was referred by the Affiliate and registered a CoinDepo Account through the Affiliate Link.
3. General Rules
The Affiliate Program is designed to attract new active users of the Product who have not previously opened a CoinDepo Account.
Any individual or legal entity can participate in the Affiliate Program as an Affiliate by registering a CoinDepo Account and submitting an application on the CoinDepo Website.
After approval of the application and registration of the Affiliate in the Affiliate Program, You will have access to the Affiliate Link created for You on the “Affiliate” page in your CoinDepo Account, where You can track your Referred Users and your affiliate rewards (hereinafter "the Affiliate Commission"). As part of the Affiliate Program, You have the right to attract an unlimited number of Referred Users.
Any individual who is at least 18 years old or legal entity that is not a citizen or resident of the United States or other restricted jurisdictions may become a Referred User by creating a new CoinDepo Account through your Affiliate Link.
To achieve the goals of the Affiliate Program:

The Affiliate undertakes to refer new active users of the Product to CoinDepo using the Affiliate Link, on the terms and for the fee specified in these Terms;

The CoinDepo undertakes to provide the Affiliate with the marketing materials necessary to attract new active users of the Product, such as images, videos, etc.
The Affiliate acknowledges and agrees that any changes by the Affiliate in the provided marketing materials are subject to the prior approval of CoinDepo.
4. Affiliate Program Mechanism
CoinDepo Account Registration. To participate in the Affiliate Program, you must sign up to CoinDepo and create your personal or business CoinDepo Account.
Joining the Affiliate Program. When you already have a CoinDepo Account, you need to complete the affiliate form on the “Partner Program” page of the CoinDepo Website and submit your application. Once your application is approved, You will receive the Affiliate Link for your audience.
Your Affiliate Link. To achieve the goals of the Affiliate Program, the Affiliate shares the Affiliate Link, which includes a unique affiliate code, with its audience in order to attract new active users of the Product.
The CoinDepo Account of Referred User. Your Referred User creates a CoinDepo Account using your Affiliate Link. Your Referred User will also be required to complete identity verification if they deposit assets in excess of the equivalent of $500.
Depositing Assets by Referred User. Your Referred User deposits any assets supported by CoinDepo into any Compound Interest Accounts in their CoinDepo Account.
Affiliate Commission Payment. Your Affiliate Commission is calculated based on the average monthly balance of the Referred Users portfolio in CoinDepo and is paid in USDC into your USDC Current Compound Interest Account every 30 (thirty) calendar days. Your Affiliate Commission calculation starts from the date the Referred User created a CoinDepo Account. The Affiliate Commission is paid regularly with no expiration date.
5. Affiliate Commission
Based on these Terms, CoinDepo undertakes to pay the Affiliate Commission to the Affiliate for each Referred User. The Affiliate Commission is 0.5% of the average monthly CoinDepo portfolio balance of the Referred Users and is regularly paid to the Affiliate separately, for each Referred User, every 30 (thirty) calendar days.
The average monthly portfolio balance of each Referred User, and accordingly the Affiliate Commission, is calculated as follows:
The day after the above 30-day period ends at 14:00 UTC, the Affiliate Commission is paid in USDC to the Affiliate's USDC Current Compound Interest Account at CoinDepo.
The next Affiliate Commission is calculated and paid in the same way after the next 30 (thirty) calendar days, etc. without expiration date. The CoinDepo does not set limits on the total amount of Affiliate Commissions paid to the Affiliate.
You can track the average monthly balances of all your Referred Users and Affiliate Commission at https://app.coindepo.com/profile/affiliate/your-commissions by logging into your CoinDepo Account. This page will be added to the CoinDepo Account after the approval of the application and registration of the Affiliate in the Affiliate Program.
You understand and agree that the Affiliate is subject to the tax regulation in its jurisdiction and is solely responsible for any filing/reporting and paying any tax due to the competent tax authority as required by applicable law. The CoinDepo is under no obligation to compensate the Affiliate for its tax liabilities or to advise it on tax matters.
6. Warranties
The Affiliate agrees and acknowledges that the Affiliate is not entitled to assume any obligations or enter into any agreements on behalf of CoinDepo as part of its participation in the Affiliate Program. The CoinDepo is not responsible for any actions, omissions, contracts, obligations, promises or statements made by the Affiliate on its own behalf.
The Affiliate agrees and acknowledges that neither the Affiliate nor its affiliates or subsidiaries are entitled to make any representations or warranties in relation to the Product, except as described on the CoinDepo Website and in the marketing materials provided to the Affiliate by CoinDepo.
The Affiliate agrees and acknowledges that neither the Affiliate nor its affiliates or subsidiaries will charge any Referred Users any fees, including but not limited to any administration fees, affiliate or additional referral fees or other similar fees in connection with participation in Affiliate Program.
The Affiliate represents and warrants that:

You are not subject to any restrictions or prohibitions that prohibit, restrict or prevent the performance of your obligations under these Terms;

You agree to comply with all laws, rules and regulations in your jurisdiction governing the fulfillment by the Affiliate of its obligations to participate in the Affiliate Program.
The Affiliate represents and warrants that its affiliates or subsidiaries, as well as officers, directors, brokers or agents:

Do not violate anti-terrorism or money laundering laws;

Are not engage in any transactions, investments, enterprises or activities that disguise the identity, source or purpose of proceeds from any category of prohibited crimes related to money laundering and aiding terrorism;

Are not engaged in or otherwise involved in any transactions related to any property or interests in property blocked in accordance with any law against terrorism and money laundering;

Do not participate or conspire to participate in any transactions aimed at violating any prohibition set forth in any Anti-Terrorism and Money Laundering Act.
7. Intellectual Property Rights
Subject to these Terms, CoinDepo grants Affiliate a non-exclusive, non-transferable, non-sublicensable, non-assignable, royalty-free license to use any name, logo, slogan or other designation displayed on the CoinDepo Website and other marketing materials such as images, videos, etc. The above CoinDepo marketing materials are provided to the Affiliate solely for use within the framework of participation in the Affiliate Program.
The Affiliate acknowledges and agrees that CoinDepo is the sole owner of and retains all proprietary rights in and to its trademarks, service marks, logos, patents, know-how, research, publications, agreements, trade and company names, etc. related to the development, implementation or operation of the Affiliate Program.
8. Termination
This Agreement comes into force from the moment of approval of the application and registration of the Affiliate in the Affiliate Program and is valid for an unlimited period of time.
In the event that the Affiliate violates any of the provisions of these Terms, the CoinDepo reserves the right to terminate this Agreement and terminate the Affiliate's participation in the Affiliate Program with immediate notice of termination.
In the event that it turns out that the Affiliate used fraudulent methods or otherwise tried to circumvent these Terms, the CoinDepo reserves the right to refuse to pay the Affiliate Commission, as well as to demand a refund of the Affiliate Commission previously paid and terminate the Affiliate's participation in the Affiliate Program with immediate notice of termination.
9. Final Provisions
These Terms are governed by the laws of Saint Vincent and the Grenadines.
The Affiliate agrees and acknowledges that CoinDepo has the right to change these Terms at any time and at its sole discretion by duly notifying the Affiliate. The Affiliate also agrees and acknowledges that Affiliate's continued participation in the Affiliate Program after the effective date of any change is automatically deemed acceptance by Affiliate of such change.
The Parties agree that all notices in relation to these Terms must be delivered by email.
Headings in these Terms are inserted for the convenience of the Parties only and should not be taken into account in interpreting the Terms.
In the event that any provision of these Terms is held to be invalid or unenforceable in whole or in part, all other provisions shall nonetheless remain in full force and effect.
The Affiliate agrees and acknowledges that these Terms are non-exclusive and CoinDepo may appoint other representatives, agents, consultants, contractors or other third parties to perform the same or similar activities.
This Agreement does not create any joint-venture, partnership, agency or employment relationship between the Parties. The Affiliate and CoinDepo are independent contractors in relation to each other in accordance with these Terms. Neither Party shall have the authority to legally bind the other Party to any other agreement, contract, offer or obligation, incur any debt or create any liability on behalf of the other Party.
The Affiliate undertakes and agrees to indemnify and hold harmless CoinDepo from any claims, losses, costs, damages, liabilities, fines or expenses (including legal costs, appeal costs and reasonable attorneys’ and other professionals’ fees) that may arise in connection with:

Any negligent act or omission of the Affiliate or willful misconduct;

Any violation by the Affiliate of its representations, warranties and obligations under this Agreement;

Any act or omission by the Affiliate in marketing or promoting the Affiliate Program, including, but not limited to, misleading potential users of the Product.
