Terms and Conditions

These CoinDepo General Terms and Conditions (hereinafter “Terms and Conditions”) apply to CoinDepo platform located at coindepo.com (hereinafter “the Website”), CoinDepo LLC (hereinafter “the Platform Operator”) and its affiliates and subsidiaries (hereinafter collectively, “the CoinDepo” or “the Platform”, “we”, “us” and/or “our(s)”), and CoinDepo products and services (hereinafter jointly “the Services”). By using the Website, you (hereinafter “the User” or "You" and/or “your(s)”) expressly accept all terms and conditions contained herein in full. You must not use the Website, if You have any objection to any of these Terms and Conditions. The User must be at least 18 years old.

1. Modifications to the Terms of Service

We may, at any time, and at our sole discretion, modify these Terms and Conditions, including our Privacy Policy, with or without notice to the User. Any such modification will be effective immediately upon public posting. Your continued use of our Service and the Website following any such modification constitutes your acceptance of these modified Terms and Conditions.

2. Registration

By registering as a user on the Platform and accepting these Terms and Conditions, You are deemed to enter into the full agreement (hereinafter “the Agreement”) with the Platform Operator. Only registered users are entitled to use the Services offered by CoinDepo.

While using the Platform, You shall confirm that You meet the following criteria:

• You are an eligible individual or a legal entity with the full legal capacity in Your respective domicile;

• You must be at least 18 years old;

• You are not the subject of any insolvency proceedings;

• You have full legal capacity (as defined in your jurisdiction) to enter into the Agreement;

• You are not under the influence of alcohol, drugs, psychoactive, toxic or other intoxicating substances.

You may not register a CoinDepo Account or use the Platform if You are a resident of any jurisdiction in which:

• the Platform Operator is not authorized to provide its Services;

• either the European Union or the United States of America have embargoed goods or services which match the Services we offer;

• Your use of Services is deemed to be illegal.

Any provisions of this clause when mentioned either jointly or separately shall be hereinafter referred to as “Restricted Jurisdiction”.

You hereby represent and warrant that You:

• do not reside or You are not currently located in a Restricted Jurisdiction;

• will not attempt to register a CoinDepo Account or use our Services by circumventing any methods we have in place to restrain You from applying for a CoinDepo Account or using our Services, even if such methods are not efficient or can be avoided.

We may use controls or other checks to restrict access to the Platform from any Restricted Jurisdiction.

You hereby represent and confirm that You have not been placed on any sanctions list by any governmental authority in either the European Union or the United States of America, and You will not use the Platform to conduct any illegal or illicit activity.

If You use the Platform Services and/or conceal from the Platform management Your residing territory and/or your placement into sanctions list as mentioned herein, we reserve the right to stop rendering You the Services and terminate the Agreement immediately.

3. Identity Verification

The User represents, warrants and undertakes that all information provided by the User to the CoinDepo at any relevant time is true, complete, accurate, current and not misleading in any material respect.

The User undertakes to maintain and update all such information to keep it true, complete, accurate, current and not misleading in any material respect. The User undertakes to immediately inform the CoinDepo of any relevant change in the information which has been provided to the CoinDepo in the course of the CoinDepo providing the Service.

The User irrevocably undertakes to provide to the CoinDepo, promptly upon demand, any information and/or documentation as the CoinDepo may request from time to time. The User hereby expressly and irrevocably permits and authorises the CoinDepo and its employees and/or any other persons authorised by the CoinDepo to provide any information and copies of any document provided by the User as may be required pursuant to any KYC Process.

The User shall comply with such identification, customer due diligence and other anti-money laundering requirements that the CoinDepo may require from time to time.

4. Intellectual Property Rights

The User is granted a limited, non-transferable license, subject to the Terms and Conditions, to use the Platform and related content, materials and information (collectively, the “Content”) solely for approved purposes as permitted by the CoinDepo from time to time. Any other use of the Platform, Service or Content is expressly prohibited and all other right, title and interest in the Platform or Service is exclusively the property of the Platform Operator.

The User agrees that it will not copy, transmit, distribute, sell license, reverse engineer, modify, publish, or participate in the transfer or sale of, create derivative works from, or in any other way exploit any of the Content, in whole or in part. 

The name “CoinDepo” and all logos, trade names, work marks, or design related to the Service or displayed on the Platform are either trademarks or registered marks of the Platform Operator or its affiliate(s).

The User shall not copy, imitate or use such logos or marks without the prior written consent of the CoinDepo. 

5. Personal Data Protection

The CoinDepo shall request and obtain a number of information and/or documentation from the User in order to comply with the Anti-Money Laundering Laws and Regulations applicable to the Platform. Such information may include identification information and documents (for example, copies/photos of national identity cards or passports) and any other information which could be considered as personal data as this is defined under the current legal framework.

Any personal data provided to the CoinDepo is retained according to the internal CoinDepo Privacy Policy in order to fulfil the purposes for which the data was collected. Once the business relationship has been terminated, the User may require to have the said data erased/deleted.

The User understands that by entering into this present Agreement, he explicitly gives his unconditional consent for collection and processing of his personal data.

The User who enters into a business relationship with the Platform has certain rights in respect of his personal data.

Such rights include the right to withdraw any consent to processing previously given, the right of access to data;

or to have data corrected, updated, rectified or erased;

or for access to data to be restricted or provided to any third party;

or to object to any particular processing;

or to lodge a complaint with the relevant supervisory authority;

or the right to data portability.

In the event where the User chooses not to provide any personal data, the CoinDepo reserves the right to terminate the business relationship or/and to refuse to enter into this Agreement.

6. Fees

CoinDepo does not charge any fees for using the Services.

Fees are subject to change. You agree that we reserve the right to change or add fees for the use of the Services at our sole discretion at any time. In the event of such changes, updated fees will be posted on the Website and/or in your CoinDepo Account.

By continuing to use the Services after any changes or additions to our fee policy become effective, You signify your acceptance of the modified or additional fees. If You do not agree to such changes or additions, You must immediately stop using the Services.

7. No Warranties

The Website is provided “as is,” with all faults, and CoinDepo makes no express or implied representations or warranties, of any kind related to the Website or the materials contained on the Website. Additionally, nothing contained on the Website shall be construed as providing consult or advice to You.

8. Limitation of Liability

You agree to indemnify and hold harmless the Platform Operator and its affiliates and subsidiaries, as well as their respective employees, managers, officers, directors, partners and shareholders from any losses, damages, suits and expenses, of whatever kind, including reasonable legal fees, that we incur in connection with or arising out of your access to or use of the Services, or our activities in connection with such Services, and for your breach of these Terms and Conditions or violation of any law, regulation, order or other legal mandate, or the rights of a third party, or any act or omission by you or any person acting on your behalf while using your CoinDepo Account, regardless of whether the specific use was expressly authorized by You.

You agree to comply with all applicable laws, regulations, or rules, and to not use your CoinDepo Account or the Services for any transaction or activity that is illegal or violates applicable laws, regulations or rules. Please note, your agreement to comply includes any and all applicable laws and regulations in the jurisdictions of the Platform Operator and its affiliates and subsidiaries, as well as of your place of residency, citizenship, business, locality and any law applicable to You.

We are not liable to You for claims, costs, losses or damages caused by an event that is beyond our reasonable control (e.g. the acts or omissions of third parties, natural disaster, emergency conditions, government action, equipment or communications malfunction).

We are not liable for special, incidental, exemplary, punitive or consequential losses or damages of any kind.

9. Applicable Law and Jurisdiction

These Terms and Conditions will be governed by and construed in accordance with the laws of the Platform Operator's jurisdiction (hereinafter “the Applicable Law”).

In the event of a dispute, when resolving it, the User submits to the non-exclusive jurisdiction of the Platform Operator's jurisdiction.

10. Severability

To the extent permitted by the Applicable Law:

• You waive all rights conferred by Applicable Law which are inconsistent with the Agreement; 

• otherwise, the Agreement shall prevail to the extent that it is consistent with Applicable Law;

• however, if the Agreement is inconsistent with Applicable Law in such a way that would have the effect of making a provision of the Agreement illegal, void or unenforceable, or contravene a requirement of Applicable Law or impose an obligation or liability that is prohibited by law, then the Applicable Law overrides the Agreement to the extent of the inconsistency, and the Agreement is to be read as if that provision were varied to the extent necessary to comply with that Applicable Law and avoid that effect (or, if necessary, omitted).

11. Third-Party Websites

The Platform may contain links to web sites controlled or offered by third-parties (i.e. parties not affiliates to the Platform Operator). The Platform Operator and its affiliates and subsidiaries hereby disclaim liability for, any information, materials, products or services uploaded, posted or offered at any of the third-party web sites linked to the Platform.

By creating a link to a third-party web site, the Platform Operator and its affiliates and subsidiaries do not endorse or recommend any products or services offered or information contained at those web sites, nor shall the CoinDepo be liable for any failure of products or services offered or advertised at those web sites. Such third-party may have a privacy policy different from that of the CoinDepo, and the third-party web site may provide less security than the Platform. 

12. Assignment

CoinDepo shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms and Conditions without any notice or consent of the User. However, the User shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms and Conditions.
